Software / System Use

- User agrees that as with any software, systems are prone to bugs, glitches and possible cyber attacks, QuoteME will attempt to rectify them as soon as possible, while QuoteME will do its best to ensure the integrity and security of your corporate data, QuoteME will not be responsible in the event of any data loss or data breaches, loss or loss of profit directly or indirectly as a result of use of the System
- QuoteME only supports Google Chrome as its official web browser, other browsers may not work as intended
- QuoteME reserves the right to carry out scheduled and unscheduled maintenance to ensure optimal running of the system

Illegal Activities

- You are not allowed to post or request any service or products which are illegal under Singapore Law
- QuoteME may assist the relevant authorities should any illegal activities be reported

Use of Copyrighted Materials

- You are not allowed to use any copyrighted materials (images, videos, etc) that are not owned by you (eg, from Google/Facebook) etc
- QuoteME will not be responsible for any copyrighted material if used and your account will be passed to the relevant authorities should any copyright infringement occur
- QuoteME reserves the right to delete any reported copyrighted materials

General Use

- You are not allowed to sell or rent the system to anyone, all users must register via the account registration
- QuoteME reserves the right to change the monthly/yearly subscription fees (if any) in the future by announcing it at least 1 month in advance
- QuoteME reserves the right to change the terms and conditions at any point of time

QuoteMe DATA PROCESSING ADDENDUM

Quote Me Pte Ltd. ("QuoteME") and the counterparty agreeing to these terms ("Customer") have entered into an Enterprise Subscription Agreement, QuoteME Terms of Use, Self-Serve Subscription Agreement, or other written or electronic agreement for certain optimization, security, and/or other internet property services (collectively, the "Service") provided by QuoteME (the "Main Agreement"). This Data Processing Addendum , including, the appendices (the "DPA") , forms part of the Main Agreement.

This Data Processing Addendum will be effective, and replace any previously applicable terms relating to their subject matter (including any data processing amendment, agreement or addendum relating to the Service), from the date on which Customer clicked to accept or the parties otherwise agreed to this Data Processing Addendum ("DPA Effective Date").

If you are accepting this Data Processing Addendum on behalf of Customer, you warrant that: (a) you have full legal authority to bind Customer to this Data Processing Addendum; (b) you have read and understand this Data Processing Addendum; and (c) you agree, on behalf of Customer, to this Data Processing Addendum. If you do not have the legal authority to bind Customer, please do not accept this Data Processing Addendum.

DATA PROCESSING TERMS

In connection with the Service, the parties anticipate that QuoteME may process outside of the European Economic Area (" EEA") and United Kingdom, certain Personal Data in respect of which the Customer or any member of the Customer Group may be a data controller or data processor, as applicable, under applicable EU Data Protection Laws.

The parties have agreed to enter into this DPA in order to ensure that adequate safeguards are put in place with respect to the protection of such Personal Data as required by EU Data Protection Laws. Accordingly, QuoteME agrees to comply with the following provisions with respect to any Personal Data submitted by or for Customer to QuoteME or collected and processed by or for Customer using the Service.

1.1 The following definitions are used in this DPA: 1.2 An entity "Controls" another entity if it: (a) holds a majority of the voting rights in it; (b) is a member or shareholder of it and has the right to remove a majority of its board of directors or equivalent managing body; (c) is a member or shareholder of it and controls alone or pursuant to an agreement with other shareholders or members, a majority of the voting rights in it; or (d) has the right to exercise a dominant influence over it pursuant to its constitutional documents or pursuant to a contract; and two entities are treated as being in "Common Control " if either controls the other (directly or indirectly) or both are controlled (directly or indirectly) by the same entity.

INTRODUCTION

Both parties have agreed on the following Contractual Clauses (the "Clauses") in order to adduce adequate safeguards with respect to the protection of privacy and fundamental rights and freedoms of individuals for the transfer by the data exporter to the data importer of the personal data specified in Appendix 1.
